1. Agreement to Terms
These Terms & Conditions ("Terms") are an agreement between Nebuela ("Nebuela," "we," "us," or "our") and the person or organization that creates an account on, places an order through, or otherwise uses nebuela.io or app.nebuela.io (together, the "Service") ("you" or "your"). If you accept these Terms on behalf of an organization, you confirm you have authority to bind it. If you do not agree, do not use the Service.
2. Description of the Service
Nebuela provisions and manages email-sending infrastructure: mailboxes on Google Workspace, Microsoft 365, Exchange Server (hybrid or on-prem), Azure Communication Services or Nebuela-operated sending servers; automated DNS authentication (MX, SPF, DKIM, DMARC and related records) written to domains you connect through Cloudflare; ongoing monitoring and best-effort automatic repair of what we provision; and export or direct push of provisioned accounts into third-party sending tools such as Instantly, Smartlead or EmailBison.
Nebuela is infrastructure, not a sending platform. We do not compose, schedule or send campaigns on your behalf, and we do not operate a warmup engine, warmup pool or reply network.
3. Eligibility & Accounts
The Service is intended for business use. You must provide accurate account and billing information, keep your login credentials confidential, and you are responsible for all activity under your account. Tell us promptly at info@nebuela.com if you suspect unauthorized use.
4. Domains & DNS Access
Domains you bring to the Service stay registered in your own registrar and Cloudflare accounts. Our access is limited to a Cloudflare API token you create and scope to specific zones; DNS automation is performed only through the Cloudflare API, and only Cloudflare-hosted DNS is supported. You may revoke that token in Cloudflare at any time, which immediately ends our ability to read or write records for that domain.
If you ask Nebuela to register and manage a domain for you, the domain-specific terms and pricing provided at the time of that order also apply.
5. Mailboxes & Provider Tenants
On the Google Workspace, Microsoft 365 and Azure paths, mailboxes are provisioned inside a provider tenant that Nebuela operates — this is what makes automated provisioning possible. You receive full SMTP and IMAP credentials for every mailbox, viewable in the portal and exportable to CSV at any time while your subscription is active, but you do not receive provider-level administrator access to that tenant.
What happens to provisioned mailboxes and their credentials after cancellation — including any export window — is confirmed in writing for your order. If it has not been confirmed for your account, ask us before relying on any particular outcome.
6. Fees & Billing
Fees are those shown on our pricing page or in your order at the time of purchase, and are billed monthly through Stripe. Your subscription quantity follows your live mailbox or domain count, and the billing page in the portal shows that count before it is invoiced. We may change prices prospectively with notice; changes do not apply to amounts already invoiced.
Any minimum mailbox count, minimum term or notice period that applies to your order will be confirmed in writing at the time of purchase, and controls over this section if the two differ.
7. Cancellation, Suspension & Refunds
You may cancel at any time through the Stripe billing portal linked from your account, which stops future renewals.
Except where required by law or where Nebuela has agreed otherwise in writing for your order, fees already invoiced are non-refundable.
We may suspend or terminate access to the Service, or to specific mailboxes or domains, for non-payment, suspected fraud, a breach of Section 8 (Acceptable Use), or a legal or provider requirement — for example, a mailbox provider suspending an account. Where practical, we will give notice before suspending for non-payment.
8. Acceptable Use
You are solely responsible for the content, recipients and legal compliance of email sent through mailboxes we provision, including compliance with CAN-SPAM, CASL, PECR, the GDPR and any other law that applies to your outreach, and with the acceptable use policies of the underlying mailbox provider. You agree not to use the Service to:
- send unlawful, fraudulent, deceptive or infringing content;
- send bulk email in violation of applicable law, or to recipients who have opted out;
- distribute malware or conduct phishing;
- impersonate a person or organization you are not authorized to represent;
- harass, threaten or defame anyone; or
- otherwise abuse the infrastructure in a way that risks the deliverability, IP reputation, provider standing or legal position of Nebuela or other customers.
Because mailboxes on some paths share provider tenants and sending infrastructure with other customers, we may suspend infrastructure implicated in a breach of this section without prior notice where reasonably necessary to protect the Service or other customers.
9. Third-Party Services
The Service provisions on, or connects to, third-party platforms including Google Workspace, Microsoft 365, Exchange Server, Azure Communication Services, Cloudflare, Stripe, Instantly, Smartlead and EmailBison. Where you hold your own account with one of these (for example Cloudflare or Instantly), your use of it is also governed by its own terms, and Nebuela is not responsible for its acts, omissions, downtime or policy changes.
When you use a feature that acts on your account at a third-party service — such as the Instantly direct push, which signs into your Instantly workspace with the login you provide — you authorize Nebuela to access that account for the limited purpose of performing the action you requested.
Google Workspace, Microsoft 365, Cloudflare, Instantly, Smartlead, EmailBison and other third-party names are trademarks of their respective owners; their mention on the Service does not imply endorsement.
10. Monitoring; No Uptime or Deliverability Guarantee
We run a monitoring and repair sweep roughly every 15 minutes over DNS records, mailbox authentication and sending-IP blacklist status, and repair what we can automatically. This is a best-effort operational practice, not a service-level agreement. Nebuela does not currently hold SOC 2, ISO 27001 or other third-party compliance certifications.
We do not guarantee inbox placement or other deliverability outcomes, or that any mailbox, domain or sending IP will remain free of provider suspension or blacklisting — these depend heavily on factors outside our control, including your list, your content and your sending behavior.
11. Intellectual Property
Nebuela retains all rights in the Service, including its software, portal, documentation and branding. As between you and Nebuela, you retain all rights in your domains, your data and the content you send; you grant Nebuela only the limited rights needed to provision, operate and support the infrastructure you order.
12. Confidentiality
Each party may receive non-public information from the other in connection with the Service. Each party will use the other's confidential information only to perform under these Terms, and will not disclose it except to personnel, contractors or providers who need it for that purpose, or as required by law.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Nebuela disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted or error-free.
14. Limitation of Liability
To the maximum extent permitted by law, Nebuela will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or business opportunity, arising out of or relating to the Service, even if advised of the possibility. Nebuela's total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid Nebuela for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain of these limitations, so some may not apply to you.
15. Indemnification
You agree to indemnify and hold Nebuela harmless from claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of applicable law (including email and data protection law), or content you send through mailboxes we provision.
16. Term & Termination
These Terms apply for as long as you use the Service. Either party may terminate as described in Section 7, or for the other party's material breach that remains uncured 30 days after written notice. Provisions that by their nature should survive — including amounts owed, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification and Governing Law — survive termination.
17. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to personal jurisdiction there.
18. Changes to These Terms
We may update these Terms as the Service evolves. We'll update the "Last updated" date above when we do, and for material changes we'll take reasonable steps to notify active customers before the change takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.
19. Miscellaneous
If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with any order confirmation or written terms provided to you at purchase, are the entire agreement between you and Nebuela about the Service. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. Our failure to enforce a provision is not a waiver of it. Our Privacy Policy explains how we handle information in connection with the Service.
